Some exciting news from BrewDog HQ

An Announcement from #PunkAGM2017

We are growing mega fast at the moment. We have broken the record for most consecutive years on the Sunday Times Fast Track 100, and in 2017 we are forecasting our growth will be even faster.

To facilitate further growth, we are delighted to announce our new partnership with TSG Consumer Partners. TSG, based in San Francisco, are one of the world’s leading growth funds with successful investments in global brands like Pop Chips and Vitamin Water.

TSG has acquired approximately 22% of BrewDog plc, with £100million in proceeds going into the business for continued expansion, and the balance to create early shareholder liquidity, in a transaction that values our company at £1billion enterprise value. The deal is designed to deliver long term capital with 10 year time horizon, and is worth £213m in total.

The deal is also great for our Equity Punks. At the £1bn valuation, shares purchased in Equity for Punks I, which closed in February 2010, are now worth 2,800% of their original value. Even craft beer fans who invested in Equity for Punks IV last year have seen the value of their shareholding increase by 177% in just one year.

Equity Punk share value

Our new partnership with TSG is a launch pad for us to turbocharge our mission to make the world as passionate about craft beer as we are, but it’s also a validation of our crowdfunding model. Crowdfunding can no longer be viewed as alternative finance; this is the democratisation of finance.

Our Equity Punks will be given the chance to realise some of their gains if they would like to do so. Equity Punks will be contacted next week with the opportunity to sell 15% of their shares (capped at 40 shares per investor) at the £1bn valuation. We will also offer a beery dividend alternative to our Equity Punks at the same time.

Assumptions might be made about BrewDog 'selling out', but this couldn't be further from the truth. We have taken on a minority investment partner, just like we did with The Griffin Group back in 2009. Martin and myself (James) still control the company, and remain the largest shareholders. Other great craft brewers like Stone Brewing Co. and Dogfish Head also recently took on minority investment deals, which are very similar to the deal we have just concluded.

Our new partners, TSG are also completely aligned with our stance on independence, and this remains entrenched into our articles of association. This new deal gives us the firepower to compete globally with the mega beer corporations and their faux craft beers, whilst remaining fiercely independent.

Ever since we first started this journey, BrewDog has existed to make other people as passionate about great craft beer as we are. We remain more laser focused on that goal than ever before, and this investment will allow us to accelerate our mission whilst we continue to invest in the two things we care about most; our beer and our people.

We’re not going to let the deal go to our heads, but Martin did buy himself a new jumper.

James and the BrewDog Team x

Well done lads. Remember buying beer from you at a stall in Belmont Street. I will have to sell some of my shares due to unemployment atm, but will be holding on to some. Good to be part of a great and unique Scottish company that sell awesome products!

can't believe i bought shares in a brewery who's wares i've yet to taste. when are your beers going to be available in the san francisco bay area? i'm thirsty and forced to drink brew from your rivals.

I put in £2k back in 2011. Based on 2650% return I now have £53k on paper if I sold all. Nice. And I already sold £1k of shares for £8k at the time before last share purchase share match.
Glad I took the punt on this cool brand that I just thought might go somewhere.....

Alan - The email is being worked up at the moment so hopefully it will be with you soon!
Alan Robertson 11.04.2017 @ 8:06pm
Well done to all. So Brewdog Rich - which day shall we receive email confirming offer price for our shares? I've been with you since EFP1 and would like to sell 40 shares to realise value and still be left with 960. How much will I receive for my lot?
Grant 11.04.2017 @ 9:48am
As an Aberdonian in the beer industry you make me proud. Fantastic beer, visionary marketing and creative business approach. Enjoy.

Pic of jumper please.
Oh yeah, nice job on increasing the value of my investment. Cheers!
Mark S 10.04.2017 @ 11:22pm
So what's 100 shares from EFP2 worth now?
Sid 10.04.2017 @ 9:15pm
I came into Brewdog in 2011 based on your enthusiasm for what you produce and the fantastic tasting beers. While a lot has changed (pretty sure Punk IPA has), much has stayed the same - i.e. beer with attitude and the people working for the company, so despite some initial fairly strong doubts and trepidation I reckon overall this is a good deal.

Btw, what a day Saturday was! Got my whole family going so we could all enjoy it but the icing on the cake was The Stranglers. First time I've pogoed to them in about 35 years!

I'm a EFP 4 shareholder and I have since moved to America this month. Will I be able to sell if I have moved away?
Ruth 10.04.2017 @ 6:17pm
Well done guys...thoroughly deserved. I 'invested' a piddly wee £200. No idea what it is worth now, just glad to be involved. I feel there is more to come. Slainte!

Hi,

It's great to see a British Brewery doing so well and taking the quality beers overseas to new drinkers.

I'd like to participate in this global expansion so how could I buy some shares?

Thanks.
Mark Lawton 10.04.2017 @ 5:09pm
Just to say I'm totally impressed! I have 2016 shares in UK and USA... I'm glad I bought them!

I'm leaving them alone though, and just enjoying great Brewdog beers plus your partner's and guest beers!

I walk into a Brewdog bar and always try a broad spread of beers... I can say I know what I like, and 90% of what I try new, I will try again!

If I find myself drinking at a CAMRA pub or a beer festival I do find myself sometimes saying hmmmm! and wondering what pedestrian beers I am going to be drinking next! ????????????????

Patrick - We'll be in touch about the specifics very soon!
Patrick 10.04.2017 @ 3:25pm
I have 10 efp3 shares - can partial shares be sold or only whole shares?
Allen 10.04.2017 @ 3:14pm
There were many articles in the financial press stating that BrewDog was overvalued at the Equity IV price. Wonder what they think of that price now?
Scott B 10.04.2017 @ 2:58pm
Onward and upwards!! Great news!
Menno 10.04.2017 @ 1:09pm
Following and working with you guys as from 2010. I've seen the circumstances in Fraserburgh and all the steps of growth in between til now and I can say no more than, deep respect for you guys and the incredible professional Brewdog team members, on what you've achieved.
Mike S 10.04.2017 @ 12:37pm
Amazing news for all supporters of Brewdog. It's particularly sweet coming as it does while the company is weathering this torrent of lazily-researched, armchair outrage from Guardian commenters and their ilk regarding the Lone Wolf dramatics. I'll be in the Manchester bar this week raising several glasses to Brewdog - and its protection of its shareholders - and a middle finger to these inconsequential divs.
Maxwell 10.04.2017 @ 12:20pm
A Billion pound company from Fraserburgh. That is just amazing when you consider it. I'll be opening a Dog A tonight to celebrate
Patrick D 10.04.2017 @ 12:06pm
Well chuffed. Great news and keep Being Brewdog. People jump on the sell out talk however this company is still owned by the Drinkers and its a great. I've got a delivery coming today and Ill Toast this great news
Barry 10.04.2017 @ 11:52am
Well done on securing the investment and another WICKED AGM!!!!!
Andrew 10.04.2017 @ 11:50am
In the ten years of Brewdog, in your words you have "kicked arse" but in that same period the interest in craft from drinkers and other breweries has gone through the roof I think (my opinion) you have strengthened your position with the investment like many others I wish I'd took out a bank loan on equity 1 & 2. All I ask is the those among us who are small investors are not forgotten or left behind.
Another fabulous AGM glad I traveled up country from Cheshire again, let's hope it continues for years to come.
